Agreement and Company Information
This End User License Agreement ("Agreement") is a legal agreement between you and PARANOID SOFTWARE LTD ("NOID", "we", "us", or "our").
This Agreement governs your access to and use of the NOID desktop application ("App"), NOID user account, licenses, subscriptions, paid or trial access, and any NOID website pages or workflows that link to this Agreement.
NOID is operated by PARANOID SOFTWARE LTD, a private limited company registered in England and Wales.

By creating an account, installing, accessing, or using the App, purchasing or using a license, starting a trial, or clicking to accept this Agreement, you agree to be bound by this Agreement.
If you use NOID on behalf of a company or other organization, you confirm that you have authority to accept this Agreement on its behalf.
If you do not agree to this Agreement, you must not create an account, install, access, or use the App, purchase or use a license, or start a trial.

Eligibility and Acceptance
You may use NOID only if you are at least 18 years old, or the age of legal majority in your jurisdiction, and you have the legal capacity to enter into this Agreement.
You may not use NOID if you are prohibited from doing so under applicable law, sanctions, export control rules, or other legal restrictions.
You are responsible for ensuring that your use of NOID is lawful in the country or region where you access or use it. NOID is not intended for use where such use would be illegal or would require us to obtain a license, authorization, or registration that we do not have.
When you create an account, start a trial, purchase a license, or use the App, you confirm that the information you provide is accurate and that you will keep it up to date.
License to Use the App
Subject to this Agreement and your active trial, license, or subscription, NOID grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use the App for your own lawful purposes.
This license allows you to use the App only in accordance with this Agreement, the documentation, and any technical limits that apply to your plan, license, or subscription.
You do not acquire ownership of the App, its source code, object code, design, technology, trademarks, content, or other intellectual property. All rights not expressly granted to you are reserved by NOID and its licensors.
You must not:
- copy, modify, adapt, translate, or create derivative works of the App, except where allowed by law;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except where such restriction is prohibited by law;
- remove, obscure, or alter proprietary notices, security features, license controls, or technical protections;
- sell, rent, lease, sublicense, distribute, provide access to, or commercially exploit the App except as expressly allowed by NOID;
- use the App to build or support a competing product or service;
- bypass, disable, or interfere with license checks, access controls, usage limits, or security features.
Account and License Access
You may need a NOID account, active trial, license, or subscription to access or use some or all features of the App.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, except where caused by NOID's own failure to protect systems under our control.
You must not share, sell, transfer, resell, or provide access to your account, license, subscription, or trial to another person or entity unless NOID expressly allows it.
You must notify us promptly at help@noid.net if you believe that your account, license, or credentials have been compromised or used without authorization.
NOID may use technical measures to verify license status, activate access, prevent unauthorized use, and enforce plan or license limits.
Payment, Balance, Subscription, Renewal, and Refunds
NOID may offer free trials, paid licenses, subscriptions, account balance top-ups, and other paid access options. The available plans, prices, billing periods, currency, features, limits, and payment methods are shown in the App, on the Website, or during checkout.
A free trial may be available only if both of the following conditions are met: (a) the email address has not previously been registered with NOID; and (b) the device has not previously been used to receive a NOID trial or create a NOID account. NOID may use technical measures, including hashed eligibility markers, to determine trial eligibility and prevent duplicate or abusive trial use.
A free trial does not require payment. If your trial is not available or has ended, you may purchase a paid license or subscription. You may also purchase a paid license or subscription during an active trial.
NOID may provide an account balance. The NOID balance can be used only within NOID to purchase NOID licenses, subscriptions, or other NOID paid access. The NOID balance is not a bank account, payment account, e-money wallet, crypto wallet, or deposit account. It does not earn interest, cannot be transferred to another user, and cannot be used outside NOID.
You can top up your NOID balance in the App. The minimum top-up amount is $10 and the maximum top-up amount is $9,999, unless different limits are shown in the App or required by law or a payment provider. Available payment methods may include card payment or crypto payment.
When you purchase a license or subscription, your available NOID balance may be applied to the purchase price. If your balance is not enough to cover the full price, you must pay the remaining amount. If the remaining amount is less than the minimum payment amount, you may need to make a minimum payment of $10, and any unused amount will remain in your NOID balance.
By default, automatic renewal is enabled for subscriptions. By purchasing a subscription while the auto-renewal switch is enabled, you authorize NOID to renew your subscription at the end of the current subscription period and to apply your available NOID balance first. If your NOID balance is not sufficient and you have a linked payment method, you authorize NOID and our payment provider to charge the remaining amount, or the applicable renewal amount, to that linked payment method. If your balance is not sufficient and no linked payment method is available, or if a renewal charge fails, you may need to top up your balance or make an additional payment to continue access.
You can turn automatic renewal off in the App using the auto-renewal switch. If you turn automatic renewal off, your current paid period will continue until its expiry date, but your subscription will not renew automatically after that date.
Payments are processed by third-party payment providers. Your payment may be subject to the payment provider's own terms, privacy notice, processing times, exchange rates, network fees, bank fees, or transaction rules. NOID does not store full payment card details.
Crypto payments may be subject to blockchain confirmations, exchange-rate changes, transaction fees, and irreversible settlement. Network fees, miner fees, gas fees, and exchange-rate differences are outside NOID's control.
You may request a refund for any payment within 14 calendar days from the payment date by contacting us at help@noid.net or by creating a support request through any official NOID support channel available in the App or on the Website. If a payment was credited to your balance or used to purchase a license or subscription, NOID may deduct the corresponding amount from your balance, cancel the relevant access, or adjust the license or subscription period.
We may ask for information reasonably needed to verify and process a refund request. Refunds may be refused where we reasonably believe that the request is fraudulent, abusive, relates to a violation of this Agreement, or is not permitted by applicable law or payment provider rules.
We may change prices, plans, features, payment methods, balance limits, or renewal rules from time to time. Price changes do not affect a paid period that you have already purchased, unless the change is required by law or clearly stated at the time of purchase.
Local App Data and User Responsibility
NOID is designed so that App data, such as browser identities, profile contents, local cookies, local files, presets, notes, tags, proxy lists, custom proxy credentials, and similar data, is stored locally on your device and remains under your control.
NOID does not access, collect, control, or store this local App data on our servers, except where you choose to provide such information to us, for example in a support request.
If you use NOID to process personal data through local App data, browser identities, profile configurations, websites, accounts, proxies, credentials, or other materials that remain on your device, you are responsible for ensuring that you have the right and lawful basis to do so and that your use complies with applicable privacy and data protection laws. NOID is not a processor of local App data because we do not access, collect, control, or store that data on our servers.
You are responsible for securing your device, local environment, passwords, keys, backups, exported files, and other means of access to local App data.
If you delete local App data, lose your device, lose a password or key, corrupt local files, or disable or change your local environment, NOID may not be able to recover that data.
If the App provides export, import, encrypted export, or backup features, you are responsible for safely storing exported files, passwords, and backup materials. Lost passwords or keys may make data recovery impossible.
You must not send us sensitive local App data, including browser identities, cookies, proxy credentials, local files, or profile contents, unless it is necessary for a support request. If you send such data to support, you are responsible for ensuring that you have the right to send it.
Acceptable Use
You must use NOID only for lawful purposes and in accordance with this Agreement, applicable law, and third-party rights.
You must not use NOID for:
- illegal, fraudulent, deceptive, harmful, or abusive activity;
- phishing, social engineering, impersonation, credential theft, account takeover, or unauthorized access to accounts, systems, or data;
- spam, mass unsolicited messages, scam campaigns, or deceptive marketing;
- distributing malware, spyware, ransomware, botnets, exploits, or other harmful code;
- attacks on networks, services, or infrastructure, including DDoS, credential stuffing, brute force, scanning, scraping, or automation that violates applicable law or third-party terms;
- bypassing technical restrictions, access controls, rate limits, bans, sanctions, export controls, or legal restrictions;
- violating intellectual property, privacy, publicity, contractual, or other rights of third parties;
- unlawful collection, processing, sale, or disclosure of personal data;
- unlawful financial activity, money laundering, terrorist financing, sanctions evasion, payment fraud, or chargeback abuse;
- resale, sharing, renting, lending, or commercial exploitation of NOID access unless expressly allowed by NOID;
- activity that may damage, overload, disrupt, or compromise NOID, our users, service providers, or third-party services.
You are responsible for the websites, services, accounts, proxies, credentials, content, data, and third-party tools that you use through NOID.
NOID does not give you the right to violate the terms of third-party websites, platforms, services, proxy providers, or payment providers. You are responsible for reviewing and complying with those terms.
We may investigate suspected violations of this Agreement and take action, including limiting, suspending, or terminating access, removing access to features, refusing refunds where permitted by law, or reporting activity to authorities where required or appropriate.
Connections, Proxies, and TOR
NOID may allow you to use different connection types, including built-in proxies, your own proxies, TOR, localhost/custom connections, and saved connection presets.
Built-in proxies and TOR access may depend on external networks, infrastructure, providers, and technical conditions outside NOID's full control. NOID does not guarantee that any connection type will always be available, uninterrupted, fast, compatible with every website, or free from blocks, restrictions, IP reputation issues, geolocation errors, or other limitations.
If you use your own proxies, localhost/custom connections, proxy rotation links, credentials, or saved connection presets, you are responsible for ensuring that you have the right to use them and that your use complies with applicable law and any third-party terms.
NOID may test or display technical information about a connection, such as connection status, outgoing IP address, or approximate geolocation, but such information may be incomplete, delayed, or inaccurate.
Updates and Availability
NOID may release updates, patches, new versions, or changes to the App, Website, accounts, licensing, built-in connections, and related features from time to time.
App updates are installed automatically and are mandatory when the App starts. You cannot skip a mandatory update and continue using an older version of the App. This is necessary for security, compatibility, bug fixes, license operation, abuse prevention, and maintaining the correct operation of NOID.
If an update cannot be installed or completed, the App or certain features may be unavailable until the update is successfully installed.
We may change, add, limit, temporarily suspend, or discontinue individual NOID features where needed for security, legal compliance, abuse prevention, technical maintenance, product improvement, or normal service operation.
We try to keep NOID available, but we do not guarantee that the App, Website, accounts, licensing, balance, payment processes, built-in connections, or support will always be available, uninterrupted, or error-free.
NOID is not responsible for unavailability or issues caused by events outside our reasonable control, including internet outages, device or operating system issues, third-party infrastructure, payment providers, proxy networks, TOR network, blocks, sanctions, legal restrictions, or actions of third parties.
Intellectual Property
NOID, the App, Website, software, source code, object code, design, user interface, features, documentation, content, trademarks, logos, trade names, and related technology are owned by NOID, its affiliates, or its licensors and are protected by intellectual property laws.
Except for the limited license expressly granted to you in this Agreement, you do not receive any right, title, or interest in NOID or any NOID intellectual property.
You must not use NOID's name, trademarks, logos, branding, screenshots, interface elements, or other proprietary materials in a way that suggests endorsement, partnership, resale, affiliation, or approval by NOID unless we have given you written permission.
If you provide feedback, suggestions, ideas, bug reports, or improvement requests, you grant NOID the right to use them without restriction or compensation to you. This does not give NOID rights to your local App data, browser identities, profile contents, cookies, files, notes, tags, proxy lists, or other local data stored in the App.
Suspension and Termination
You may stop using NOID at any time. You may also turn off automatic renewal in the App, if automatic renewal is enabled for your subscription.
We may limit, suspend, or terminate your account, license, subscription, trial, access to paid features, or access to NOID if we reasonably believe that:
- you have violated this Agreement;
- your use of NOID creates legal, security, fraud, abuse, payment, sanctions, or operational risk;
- your payment is declined, reversed, charged back, fraudulent, disputed, or otherwise invalid;
- you attempt to bypass license checks, access controls, payment rules, trial eligibility limits, or technical protections;
- we are required to do so by law, court order, regulator, payment provider, or other legal process.
If we suspend or terminate access, your right to use the App and related paid features may stop immediately. We may also disable license activation, account access, balance use, automatic renewal, support for paid features, or other account functions.
Termination or suspension does not affect rights and obligations that arose before the termination or suspension, including payment obligations, refund rules, legal compliance obligations, intellectual property rights, disclaimers, liability limits, and acceptable use obligations.
Because local App data is stored on your device and under your control, suspension or termination of your account does not by itself delete local App data from your device. However, you may lose access to features that require an active account, license, subscription, or server-side activation.
If your account is terminated because of a violation of this Agreement, fraud, abuse, chargeback abuse, sanctions risk, or unlawful activity, refunds or balance use may be refused where permitted by applicable law.
Disclaimers
To the maximum extent permitted by applicable law, NOID, the App, Website, accounts, licensing, balance, built-in connections, features, and related services are provided "as is" and "as available".
We do not guarantee that NOID will operate without interruption, errors, delays, vulnerabilities, data loss, or compatibility issues, or that all errors will be corrected.
We do not guarantee that NOID will be compatible with every device, operating system, website, platform, account, proxy, TOR node, network environment, or external service.
We do not guarantee any specific result from using NOID, including access to any website or account, absence of blocks or bans, accuracy of geolocation, IP address reputation, complete anonymity, complete protection from tracking, or impossibility of identification in all circumstances.
NOID does not provide legal, tax, financial, compliance, security, or operational advice. You are responsible for how you use NOID and for the decisions you make based on its features.
Nothing in this Agreement limits any rights that cannot be limited or excluded under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, NOID is not responsible for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business opportunities, goodwill, data, local App data, browser identities, profile contents, files, credentials, proxies, accounts, or access to third-party services.
NOID is not responsible for losses caused by events outside our reasonable control, your misuse of NOID, your failure to secure local App data, your use of third-party websites, accounts, proxies, credentials, payment providers, crypto networks, TOR, or other external services, or your violation of this Agreement.
If you are dissatisfied with NOID, your primary remedy is to stop using the App and, where applicable, request a refund under the refund terms of this Agreement.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or your mandatory consumer rights.
Governing Law
This Agreement is governed by the laws of England and Wales, without regard to conflict of law rules.
If you are a consumer, this does not limit any mandatory consumer rights or protections that you may have under the laws of the country where you live.
Changes to This Agreement
We may update this Agreement from time to time to reflect changes in NOID, features, payments, legal requirements, or our business practices.
The "Last updated" date at the top of this Agreement shows when it was last changed.
If we make material changes, we will take reasonable steps to notify you, such as through the Website, the App, or email where appropriate.
If you continue using NOID after changes take effect, you agree to the updated Agreement. If you do not agree to the changes, you must stop using NOID and, where applicable, turn off automatic renewal.
Language
This Agreement is provided in English. Any translation is provided for convenience only. If there is any conflict between the English version and a translation, the English version will prevail, except where applicable mandatory consumer law requires otherwise.
